Client engagement terms.

Purpose of this document

These terms describe the framework under which Arqentia Inc. (“Arqentia”, “we”, “us”) operates this website and communicates with prospective clients before any engagement is signed. They are not a contract for services. Every actual engagement — diagnosis, build, operation, or maintenance — is governed by a separate written Engagement Contract signed by both parties, which prevails over this document.

The website is informational

The content of this site — descriptions of capabilities, sectors, indicative pricing, illustrations, and demo dashboards — is provided for general information only. It is not advice (legal, tax, financial, or operational) and it does not create any commitment on our part to provide specific services, deliverables, timelines, or results.

Submitting a case is not a contract

When you send us a case or contact us, you invite us to review whether a potential engagement makes sense. Reading your message, replying, asking follow-up questions, or sending a written assessment does not, by itself, create a contract or any obligation on our part to engage. We may decline cases for any reason and without explanation.

Indicative pricing

Any figure shown on this site — build floors, monthly minimums, ranges — is indicative. It is not a quote, not an offer, and not binding. A real price exists only inside a written proposal that we sign and you accept.

Confidentiality & NDA

We treat the information you share to start a conversation with the discretion that a professional engagement requires. If you prefer to formalize confidentiality before sharing operational details, you may request a non-disclosure agreement before any discovery conversation. The specific terms of any NDA are reviewed and negotiated case by case. We are not obligated to sign an NDA we have not reviewed and agreed to.

Intellectual property of the website

All content on this site — text, design, code, illustrations, dashboards mockups — is owned by Arqentia or licensed to us. Short excerpts may be quoted with attribution. Copying substantial portions, rebranding them, or republishing them without our written consent is not permitted.

The Arqentia name, the Arqentia wordmark, and associated logos are our trademarks (registered or pending). Use of them requires our prior written consent.

Acceptable use of the site

You agree not to:

• Use this site to send unlawful, harassing, defamatory, or malicious content.
• Attempt to access, probe, or scan systems, accounts, or data that are not yours.
• Use automated tools to scrape, mirror, or overload the site.
• Submit information about a third party without their consent.

No warranties

The website is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not guarantee that the site will be uninterrupted, error-free, secure against every threat, or that any information will remain current. Examples, demo dashboards, and sector data shown on the site are illustrative; real outcomes depend on each client’s operation, scope, and data.

Limitation of liability

To the maximum extent permitted by law, Arqentia and its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of this website, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim relating to the website is limited to one hundred US dollars (USD $100). For matters arising from a signed Engagement Contract, liability is governed exclusively by that contract.

Indemnification

You agree to defend, indemnify, and hold Arqentia and its representatives harmless from and against any claim, loss, liability, or expense (including reasonable legal fees) arising from your misuse of the site, your breach of these terms, your violation of applicable law, or your infringement of any third party’s rights.

Suspension & access

We may, at any time and without prior notice, restrict, suspend, or terminate access to the site or to specific features, in whole or in part, for any reason, including suspected abuse. These terms continue to apply to any prior use of the site.

Governing law & forum

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles. Any dispute arising from or relating to the website that cannot be resolved amicably will be brought before the competent state or federal courts located in Miami-Dade County, Florida, and you consent to the exclusive jurisdiction and venue of those courts.

Changes

We may modify these terms at any time. The version in effect is the one shown on this page, with the “Last updated” date above. Continued use of the site after a change means you accept the modified terms.
